Effective Date: 18 July 2026

This Agreement governs the relationship between BuyChance International ("BuyChance") and registered sellers ("Seller", "you") listing products on the Platform, in accordance with the Consumer Protection (E-Commerce) Rules, 2020.

1. Onboarding and Verification Sellers must complete verification, including submission of valid business registration, GST details (where applicable), bank account information, and category-specific certifications required for the products listed.

2. Listing Accuracy and Product Information Sellers are solely responsible for the accuracy of listings, including description, images, pricing, stock, category, and — in accordance with the Legal Metrology (Packaged Commodities) Amendment Rules, 2026 — accurate Country of Origin, manufacturer, and importer information, displayed prominently on the listing prior to sale.

3. Commission Sellers are charged commission per our Seller Commission Policy, which may be revised in accordance with that policy.

4. Order Fulfilment Sellers must confirm and dispatch orders within timelines set in the seller dashboard. Repeated failure or excessive cancellation may result in account review, including suspension.

5. Authenticity and Quality Warranty Sellers warrant that all products are genuine, legally compliant, and accurately described. Listing counterfeit, prohibited, or misrepresented goods results in immediate delisting and may result in termination, per our Prohibited & Restricted Items Policy and Intellectual Property & Counterfeit Policy.

6. Wallet, Settlement, and Payouts Net sale proceeds are credited to the seller's wallet and settled per the cycle and terms shown in the seller dashboard, and our Wallet & Payments Terms.

7. Return and Refund Cooperation Sellers must accept returns and cooperate in refund processing per our Return, Refund & Cancellation Policy.

8. Suspension and Termination BuyChance may suspend or terminate a seller account for breach of this Agreement, sustained poor performance, fraud, or legal non-compliance. Where feasible, the seller will be informed of the reason.

9. Prohibited Items Sellers must not list items prohibited under applicable law or our Prohibited & Restricted Items Policy.

10. Intellectual Property Warranty Sellers warrant they hold all rights necessary to list and sell their products and any associated content, without infringing third-party rights.

11. Indemnification Sellers agree to indemnify BuyChance against any claim arising from the seller's products, listings, or breach of this Agreement.

12. Dispute Resolution and Governing Law Governed by the laws of India, subject to our Dispute Resolution Policy and the exclusive jurisdiction of courts at Dehradun, Uttarakhand.
